1. Definition, purpose, activities, and registered office of the association
Name of the association: Independent Breeders' Club (hereinafter referred to as the association or NCHK)
Purpose of the association: The association is a voluntary breeding club for breeders, owners, and protectors of cats who are involved in or support AAI - zoo rehabilitation.
The NCHK may, exclusively for the purpose of supporting its main activities, engage in secondary economic
activities consisting of business or other profit-making activities:
a) fields of activity belonging to the free trade "production, trade, and services not listed in Annexes 1 to 3 of the Trade Licensing Act":
Animal breeding and training (with the exception of animal production)
Publishing activities, printing, bookbinding and copying
Manufacture of school and office supplies, except paper products, manufacture of costume jewelry, brushes and ready-made goods, umbrellas, souvenirs
Translation and interpreting
Administrative and organizational services
Extracurricular education and training, organization of courses and training, including lecturing
Operation of cultural, cultural-educational, and entertainment facilities; organization of cultural productions, entertainment, exhibitions, fairs, shows, sales, and similar events
Provision of personal and personal hygiene services
Provision of services for families and households
Registered office: Havlíčkova 590, Mladá Boleslav II, 293 01 Mladá Boleslav.
The association is a legal entity under Act No. 89/2012 Coll., the Civil Code, with the right to act in legal relations on its own behalf, with the legal and property liability arising from these relations.
The association is not responsible for the breeding of its members or for the information provided by members for the purpose of issuing pedigree certificates for bred kittens.
2. Supreme (highest) body
The supreme (highest) body is the annual general meeting convened once a year by the head of the stud book. The annual general meeting elects the head of the breeding commission (executive body).
The annual general meeting has a quorum when a majority of the association's members are present. If a majority of the association's members are not present half an hour after the scheduled start, the annual general meeting has a quorum with the number of members present. A majority of the members of the association present is required for the resolutions of the annual general meeting to be valid.
Each member has one vote.
Voting may also take place electronically. The annual general meeting may also adopt its decisions per rollam, in writing (e.g., by e-mail). The proposal must contain at least a draft resolution, the documents necessary for its assessment or information on where they are published, and information on the deadline by which the member of the association is to express their opinion. This deadline may not be less than 10 working days. For a written vote to be valid, a member's statement must be included, stating the day, month, and year when it was made, signed by hand on a document containing the full text of the draft resolution. The head of the herd book shall notify the members of the association in writing or by other appropriate means of the result of the vote and, if the resolution has been adopted, shall also notify them of the full content of the adopted resolution. If he fails to do so without undue delay, the notification may be made at the expense of the association by the person who proposed the resolution. In a per rollam vote, a decision is adopted if a majority of all members of the association vote in favor of its adoption.
The annual general meeting shall, in particular:

approve the statutes and amendments thereto,
-
elect the bodies of the association (head of the breeding commission/herd book),
-
approve the amount of administrative fees,
-
decide on all other matters not reserved by these statutes,
-
decide on the dissolution of the NCHK and appoint a liquidator.
3. Composition of the breeding commission and statutory representative of the NCHK
The NCHK has a breeding commission composed of the following:

The statutory representative of the NCHK for public relations and negotiations with state authorities
and other entities is the head of the stud book. The head of the stud book represents the association externally on its own. He or she is elected by the stud book officials for an indefinite period.
The executive body of the association is the head breeding commission, which has four members elected by the annual general meeting as needed. The head of the breeding commission consists of: the head of the Ragdoll and Ragamuffin breeders' club, the head of the British cat breeders' club, the head of the AAI-zoorehabilitation club, and the manager of AAI-zoorehabilitation. The functions of members in the association's bodies are for an indefinite period.
The superior body may always dismiss them as necessary.
3.1. Definition of functions
3.1.1. Stud book – Head of the Breeding Commission
Ensures the practical registration of breeders, breeding and non-breeding cats, cats designated
for evaluation, cats being prepared for zoorehabilitation tests (hereinafter referred to as the Visiting Service), cats in need that are entrusted to the NCHK for placement, births and deaths of cats, and microchipping. Ensures contact with breeders organized in the NCHK and other clubs, including foreign ones, contact with stud books of clubs in the Czech Republic and abroad, contact with other organizations with a similar focus, including foreign ones. Ensures consent to the processing of personal data of club members and external participants in events organized by the club, if such data is necessary.
It studies heredity in the population of pedigree cats, ensures the control of vaccinations and compliance with veterinary regulations in the breeding facilities of NCHK members. On the technical side, it ensures the registration and issuance of pedigrees, the registration of cats from other clubs, the registration of titles, and all matters related to the registration of cats. In cooperation with a veterinarian, it ensures the evaluation of cats from the NCHK and other organizations at exhibitions and evaluations.
Studbook officials are required to pass relevant exams in anatomy, genetics, and practical knowledge of breeding individual breeds or species of cats. After passing such an exam, they are appointed as national club judges and are authorized to judge at national and club shows. They are required to attend seminars of other organizations involved in AAI - zoorehabilitation.
They are required to submit reports on their participation in these seminars. They are also required to be present at testing for eligibility to perform AAI - zoorehabilitation. They are authorized to carry out checks on individual visits in the field of AAI - zoorehabilitation, entries in NCHK pedigrees, including changes. They ensure the drafting of contracts with handlers and target facilities.
The stud book officials organize exhibitions, internships, and breeding seminars, unless an agreement has been concluded with an external organizer.
They also organize other events related to breeding. Individual club leaders and the AAI-zoo rehabilitation manager issue an annual report on activities, including financial statements related to these activities, and extraordinary reports if necessary. The stud book manager compiles these into a summary report.
The stud book (Head of the Breeding Commission) has the following composition:

Head of the Ragdoll and Ragamuffin Breeders' Club - ensures the above-mentioned activities for the Ragdoll and Ragamuffin breeds.

Head of the British Cat Breeders' Club - ensures the above activities for British breeds and other breeds with a small number of representatives.

Head of the AAI - Zoorehabilitation Club - ensures the above activities for cats and their handlers participating in AAI - Zoorehabilitation. Ensures the drafting of contracts with handlers and target facilities.

AAI Zoorehabilitation Manager - secures grants for the given area of NCHK activity and controls their use. Has the right to participate in AAI zoorehabilitation exams and all related events. Has the right to promote AAI zoorehabilitation using available media and in accordance with the laws in force in the Czech Republic. He/she publishes an annual report on activities, including accounts related to these activities, and extraordinary reports if necessary.
From among them, a studbook manager is elected, who is the individual statutory representative of the club in dealings with the public and authorities. The studbook manager is also the club's economist, manages or commissions the processing of accounts, and files tax returns.
3. 1. 2. All these functions participate in the management of the club to the same extent, except for representing the NCHK externally. Only the head of the stud book has the authority to represent the association externally. However, the head of the stud book may authorize another member of the breeding commission to represent the association on the basis of a written power of attorney. If necessary, they have the right to convene an extraordinary annual general meeting at any time. The regular annual general meeting is always convened in the first half of the following year by the stud book. An extraordinary general meeting may be convened at any time as needed.
3. 1. 3. All these functions are subject to membership control, and any ordinary member has the right to control the governing bodies and their activities. All these functions are considered voluntary work and may be paid beyond the mandatory limit of voluntary hours determined at the annual general meeting for the current calendar year.
4. Club membership
Any person of good character, regardless of age, gender, nationality, or citizenship, who is actively involved in or supports the AAI Visiting Service (zoo rehabilitation) may become a member of the club.
For foreign members, membership fees and administrative fees can only be accepted
in Czech currency. Club membership begins with the submission of a written application and payment of the membership fee. The amount of the fee for the calendar year is proposed and approved by the annual general meeting. Persons under the age of 18 may become members of the club only with the consent of their legal guardians and are designated as Young Breeders.
5. Each member has the following rights:

from the age of 18, to vote and be elected to the association's bodies,
-
to contribute their opinions, knowledge, and skills to the club's activities,
-
to address the club's bodies with suggestions and complaints and request their response,
-
register their cats in the NCHK stud book and register their cattery,
-
breed kittens and request the issuance and registration of pedigrees and titles for bred kittens and cats purchased from other organizations, subject to compliance with the internal regulations of the NCHK and the laws in force in the Czech Republic
-
be a member of other breeding organizations in the Czech Republic and abroad, provided that they use only the stud book of a single organization to register their cats and issue pedigrees for their offspring.
6. Each member has the following obligations:

comply with the laws applicable in the Czech Republic and the internal regulations of the NCHK,
-
actively participate in fulfilling the club's objectives,
-
pay membership fees and club administrative fees approved by the annual general meeting,
-
conscientiously perform functions in the club's bodies,
-
complete mandatory training in basic breeding knowledge and cat care,
-
ensure that the good name of the club is not damaged,
-
attend annual membership meetings,
-
treat animals kindly and provide them with appropriate care in accordance with the veterinary and hygiene regulations in force in the Czech Republic,
-
be fully responsible for their own breeding,
-
when also a member of other breeding organizations in the Czech Republic or
-
abroad, use only the stud book of a single organization for the registration of their cats and the issuance of pedigree certificates for their breeding.
7. Relationship of the NCHK to other breeding clubs
The NCHK recognizes other breeding clubs and strives to cooperate with them, including the exchange of experience, new knowledge, and the participation of judges from other clubs in NCHK exhibitions.
8. Cooperation with other animal welfare associations, private individuals, and state authorities in providing assistance to abandoned cats.
The NCHK cooperates with animal welfare associations and provides assistance to abandoned cats if they are entrusted to the NCHK for rehoming by their former owners, sold by their former owners, or entrusted to shelters in accordance with the provisions of Section 13(2) of Act No. 246/1992 Coll. on the protection of animals against cruelty, or entrusted for rehoming by the relevant state authority. Assistance means integrating such animals into the breeding stations of NCHK members or finding new owners for these animals. This may also involve finding the original owner of an animal that was originally found (see registration of cats in the NCHK stud book). Under no circumstances does this involve the establishment of shelters.
9. Cooperation between the NCHK and veterinarians
The NCHK cooperates with veterinarians and complies with the applicable veterinary and hygiene regulations in the Czech Republic and other countries.
10. NCHK logo, flag, and club documents
The NCHK has its own logo and official club documents.
11. Rights and obligations of the NCHK
∙ The NCHK has the rights and obligations to organize exhibitions of all types and thus promote the breeding
and protection of cats and AAI - zoorehabilitation while maintaining its independence and sovereignty.
∙ The NCHK has the right to enable its members to breed and protect cats at an international level, while having the right to tighten veterinary conditions compared to the standard regulations in force in the Czech Republic
if necessary due to a change in the infectious disease situation in a given region.
12. Club animals
All club animals have registration cards with records of vaccinations, deworming, microchipping, and health records. In the event of any infectious disease, NCHK members are required to report the situation immediately. It is prohibited to exhibit such cats, breed them, sell them, or participate in AAI-zoo rehabilitation. If the disease is incurable but not transmissible to humans, it is the breeder's responsibility to ensure that the animals have a dignified and fulfilling rest of their lives. Furthermore, all club cats must be vaccinated in accordance with the applicable veterinary regulations in the Czech Republic.
13. Club management
The club is entitled to manage the funds obtained:

On the basis of business activities in accordance with a trade license with the subject of business: Production, trade, and services not listed in Annexes 1 to 3 of the Trade Licensing Act in the following fields of activity:

Animal breeding and training (except for animal production)
-
Publishing activities, printing, bookbinding, and copying
-
Production of school and office supplies, except for paper products, production of costume jewelry, brushes and ready-made goods, umbrellas, souvenirs
-
Translation and interpreting services
-
Administrative and organizational services
-
Extracurricular education and training, organization of courses and training, including lecturing
-
Operation of cultural, cultural-educational, and entertainment facilities, organization of cultural productions, entertainment, exhibitions, fairs, shows, sales, and similar events

Provision of personal and personal hygiene services Provision of services for families and households
-
from NCHK administrative fees / membership fees, animal registration, issuance
-
and registration of CHS, issuance and registration of pedigree certificates, mandatory training, mandatory participation in exhibitions, etc. /,
-
from organizing exhibitions and other events of a breeding nature or related to the promotion of AAI-zoo rehabilitation,
-
from donations and grants.
These funds are managed by the head of the NCHK breeding commission (head of the stud book). Accounting is conducted in accordance with the tax and financial laws in force
in the Czech Republic. Management is subject to control by the head of the breeding commission.
The club's funds are used primarily for the following purposes:
-
ensuring the functioning of the club and the fulfillment of its objectives,
-
supporting systematic work with children and young people in breeding clubs under the auspices of Children's and Youth Centers or elementary schools,
-
improving the quality of life of bred animals / irregular natural rations for animals, contributions for vaccinations, contributions for vitamin preparations, contributions for genetic tests and other professional examinations
-
implementing AAI - zoo rehabilitation and its promotion,
-
enabling breeding and cooperation at an international professional level (purchase of professional domestic and foreign literature and breeding cats or tomcats or purchase of cats suitable for AAI - zoorehabilitation, breeding, cooperation with domestic and foreign experts in the field of veterinary medicine, genetics and biochemistry, cooperation with domestic and foreign judges.

14. Termination of membership
Membership in the club shall terminate
-
if the member wishes to leave the NCHK, upon submission of a written resignation to the stud book,
-
in the event of a gross violation of the NCHK breeding regulations or ethical standards
-
/abuse, inadequate care, risk of contagious disease, sale to dealers or for experimental purposes, registration of breeding animals in the stud books of two different organizations, violation of internal NCHK agreements on breed protection/,
-
death of a member,
-
dissolution of the club without a legal successor.
15. Dissolution of the club
-
merger with another association by decision of the annual general meeting, or by decision of the annual general meeting on dissolution, if decided by a majority of NCHK members participating in this meeting after settlement of all financial obligations of the club and satisfaction of any creditors,
-
dissolution, based on a final decision of the Ministry of Justice of the Czech Republic.

17. Final provisions
-
The Independent Breeders' Club may issue the club's organizational and procedural rules based on a decision of the annual general meeting.

The Independent Breeders' Club has the right to petition state authorities in accordance with the objectives of its activities.

These statutes were approved by the annual general meeting in Mladá Boleslav on June 23, 2023.
